These Terms of Service ("Terms") are a legal agreement between you and Wisdom InfoSoft ("ProMaTo", "we", "us"), with its registered office at [Registered Office Address], India. By accessing or using the ProMaTo website, platform, and services, including CRM, LMS, OMS, TMS, PMT, and any automation or integration features ("Services"), you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you confirm you are authorized to bind that organization. If you do not agree, do not use the Services.
In these Terms:
ProMaTo provides cloud-based business management and automation tools. Some features connect to Integrations you authorize, so that you can capture leads, send messages, sync records, and automate workflows across those services. Access to the Services requires an internet connection and compatible devices. We may add, change, or remove features over time.
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate and complete registration information and to keep it current. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly of any unauthorized use.
Paid Services require a subscription. By subscribing, you agree to pay the applicable fees shown at purchase. Unless stated otherwise, all fees are exclusive of applicable taxes, which you are responsible for paying. We may change fees with prior notice, effective at your next billing cycle. Except where required by law or expressly stated, payments are non-refundable. Payments are processed by third-party payment processors, and your use of them is subject to their terms.
We may offer a free trial for a limited period. At the end of the trial, access may end or convert to a paid plan as described at sign-up. We may modify or withdraw trials at any time.
When you connect an Integration, you authorize ProMaTo to access and process data from that service on your behalf to provide the features you configure. You agree that:
As between you and ProMaTo, you own your Customer Data. You grant us a limited license to host, process, and transmit it only to provide and support the Services. Where we process personal data of your End Users, we act as your processor and process it on your documented instructions, as further described in our Privacy Policy and Data Processing terms. You are the controller of that data and are responsible for its lawfulness, including obtaining any required consent and providing any required notices to your End Users.
You agree to use the Services only for lawful purposes and in line with these Terms. You shall not:
The Services, including all software, content, trademarks, and design, are owned by ProMaTo or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription. You shall not copy, modify, distribute, reverse engineer, or create derivative works from the Services except as permitted by law or with our prior written consent.
Each party may access information that is confidential to the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only to perform under these Terms, except where disclosure is required by law.
We aim to keep the Services available and reliable, but they are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error free, or that automations and Integrations will always operate without delay, since they depend on third-party platforms outside our control. AI-generated outputs may be inaccurate and should be reviewed before use.
To the fullest extent permitted by law, ProMaTo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services. Our total liability for any claim shall not exceed the amount you paid to us for the Services in the twelve months before the event giving rise to the claim.
You agree to indemnify and hold ProMaTo harmless from claims, damages, and costs arising from your Customer Data, your use of Integrations, your messaging to End Users, your violation of these Terms or applicable law, or your breach of any third-party platform's policies.
We may suspend or terminate access if you breach these Terms, if required by a third-party platform, or to protect the Services or other users. You may cancel at any time from your account. On termination, your right to use the Services ends.
Before termination, you may export your Customer Data using available tools. After your account closes, we delete or anonymize your data within a reasonable period, unless retention is required by law, as described in our Privacy Policy.
We may update these Terms from time to time. We will post the updated Terms on this page and revise the date above. Your continued use of the Services after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to any applicable law, the courts located in Mohali, Punjab, India shall have exclusive jurisdiction over any dispute arising from these Terms or the Services.
